1. Agreement to Terms

By accessing or using oobo.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you don't agree to these terms, please don't use our service.

2. Description of Service

What oobo Does

• Semantic Timeline: Converts your development activity into plain-English progress updates
• AI Assistant: Provides 24/7 answers about project status, blockers, and team progress
• Momentum Scoring: Measures team productivity and benchmarks against industry standards
• Alignment Engine: Shows how daily work connects to business goals and OKRs
• Integrations: Connects with GitHub, Slack, Linear, and other development tools

Service Availability

We strive to provide reliable service but may need to perform maintenance, updates, or handle unexpected issues. We'll notify you of planned maintenance in advance and work to minimize any disruptions.

3. User Accounts & Access

Account Creation

• Provide accurate and complete information during registration
• Maintain up-to-date contact information
• Use a valid business email address
• You must be 16 or older to create an account

Account Security

• Keep your login credentials secure and confidential
• Enable two-factor authentication when available
• Notify us immediately if you suspect unauthorized access
• You're responsible for all activities under your account

Team Access

If you're managing a team account, you're responsible for your team members' access and activities. Ensure they understand and follow these terms.

4. Acceptable Use Policy

Use oobo to improve team transparency, track progress, and align development work with business goals.

Prohibited Activities

• Violating any applicable laws or regulations
• Attempting to gain unauthorized access to our systems or other users' accounts
• Uploading malicious code, viruses, or harmful content
• Using the service to harass, abuse, or monitor employees without proper consent
• Reverse engineering, decompiling, or attempting to extract our algorithms
• Reselling or redistributing our service without written permission
• Using automated tools to overload our systems

Fair Use

We expect reasonable use of our service. Excessive usage that impacts performance for other users may result in temporary limitations or account review.

5. Your Data & Content

Data You Provide

• You retain full ownership of your code repositories and business data
• You grant us permission to analyze metadata and structure to provide our services
• We don't retain your source code - only processed metadata and insights
• You can revoke access and delete your data at any time

Data Accuracy

While we strive to provide accurate insights, our service depends on the quality and completeness of the data you provide. We recommend reviewing our insights alongside your own knowledge.

6. Intellectual Property Rights

Your Rights

• You own your code, data, and any content you create
• You own the insights and reports generated about your specific projects
• You can export your data and insights at any time

Our Rights

• We own the oobo platform, algorithms, and technology
• We can use anonymized, aggregated data to improve our service and create industry benchmarks
• We retain rights to our trademarks, logos, and branding

Respect for Others

Don't use our service to infringe on others' intellectual property rights. If you believe someone is infringing on your rights through our platform, contact us immediately.

7. Billing & Payments

Subscription Plans

• Subscription fees are billed monthly or annually in advance
• All fees are non-refundable except where required by law
• Prices are subject to change with 30 days' notice
• We offer free trials to help you evaluate our service

Payment Terms

• Payment is due on the billing date specified in your account
• Late payments may result in service suspension after 7 days
• We'll notify you before any billing issues affect your service
• You can update payment methods in your account settings

Cancellation

You can cancel your subscription at any time. Service continues until the end of your current billing period. We'll help you export your data before your account closes.

8. Service Limitations & Disclaimers

Service "As Is"

We provide oobo "as is" and "as available." While we work hard to provide accurate insights and reliable service, we can't guarantee that our service will always be error-free or uninterrupted.

AI Accuracy

Our AI provides insights based on patterns in your development data. While generally accurate, AI can sometimes misinterpret context. Use our insights as helpful guidance, not absolute truth.

No Warranties

We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

9. Limitation of Liability

To the maximum extent permitted by law, NoCode, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities
• Service interruptions or downtime
• Third-party actions or integrations
• Decisions made based on our insights

Our total liability to you for any claim arising from these terms or your use of oobo shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless NoCode, Inc. from any claims arising from your use of our service, violation of these terms, or infringement of any third-party rights.

10. Account Termination

Termination by You

• Cancel your subscription anytime from your account settings
• Service continues until the end of your current billing period
• Download your data before your account closes
• We'll send reminders before permanent data deletion

Termination by Us

We may suspend or terminate your account if you violate these terms or engage in harmful activities. We'll give you reasonable notice and opportunity to address issues when possible.

Effect of Termination

• Your access to oobo will end immediately
• Your data will be retained for 90 days for recovery
• After 90 days, your data will be permanently deleted
• Surviving clauses (like liability limitations) remain in effect

11. Dispute Resolution

Preferred Resolution

We prefer to resolve disputes through direct communication. If you have concerns, please reach out to us at gm@oobo.ai first.

Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Jurisdiction

Any disputes shall be resolved in the federal or state courts located in Delaware, and you consent to jurisdiction there.

12. Changes to Terms

How We Update Terms

• We may update these terms as our service evolves
• Material changes will be announced 30 days in advance
• Updates will be posted on this page with a new date
• Continued use of our service means you accept the new terms

Your Options

If you don't agree to updated terms, you can cancel your account before they take effect. We'll help you export your data.

13. Miscellaneous

Entire Agreement

These terms, along with our Privacy Policy, constitute the entire agreement between you and NoCode, Inc. regarding your use of oobo.

Severability

If any part of these terms is found to be unenforceable, the remaining provisions will continue in full effect.

Assignment

You cannot transfer your rights under these terms to anyone else without our written consent. We may assign our rights and obligations to affiliates or successors.
